2. Client Responsibilities

You agree to:

Provide accurate business information, creative assets, and necessary approvals

Ensure compliance with applicable laws, industry regulations, and advertising platform rules

Respond promptly to communication requests

3. Payment Terms

Fees are due as outlined in your service agreement or invoice

Late payments may result in suspension of services

Ad spend (e.g., Google Ads, Facebook Ads) is billed directly to you unless otherwise arranged

4. Results Disclaimer

Wave Acquisition does not guarantee specific outcomes such as lead volume, conversions, or sales. Marketing results depend on many factors outside our control, including competition, market conditions, and your sales process.

5. Intellectual Property

Campaigns, ad creatives, and other materials created by Wave Acquisition remain our property until full payment is received

After full payment, you are granted a non-exclusive license to use these materials for your business

6. Confidentiality

Both parties agree to protect and keep confidential any proprietary or sensitive information shared during the course of working together.

7. Limitation of Liability

To the fullest extent permitted by law:

Wave Acquisition will not be liable for indirect, incidental, or consequential damages

Our total liability will not exceed the fees paid by you in the three (3) months prior to any claim

8. Termination

Either party may terminate this Agreement with thirty (30) days’ written notice

We may terminate immediately if you violate these Terms, fail to pay fees, or engage in unlawful activity

9. Governing Law

These Terms are governed by the laws of [Insert State/Country]. Any disputes shall be handled in the courts of that jurisdiction.

10. Entire Agreement

These Terms, along with any written agreement between you and Wave Acquisition, represent the entire understanding between both parties.
